Institutional Overview

These Terms of Service ("Terms") set out the operational, legal, and governance frameworks governing all digital interactions, diagnostic engagements, and strategic mandates delivered by StratWell ("the Practice"). By accessing strat-well.co.uk, engaging in diagnostic intake, or commissioning strategic advisory services, you accept and agree to be bound by these institutional protocols in full.

Scope of Engagement & Practice Boundaries

StratWell provides specialized strategy architecture, commercial diagnostics, and corporate governance support exclusively to qualified enterprise clients.

No Public Accounts: The Practice does not offer public user registration, client portals, or open SaaS accounts. All interactions are conducted via direct executive mandate and formal intake.

Professional Conduct: Users and client representatives shall not engage in unauthorized access attempts, system disruption, automated data extraction, or any conduct that compromises the operational security or digital infrastructure of the Practice.

Strategic Artifacts & Intellectual Property

All strategic blueprints, diagnostic models, and architectural frameworks are custom-engineered for each client enterprise and are intended strictly for internal governance by the designated organization.

Usage Restrictions: Intellectual assets, proprietary models, and strategic documentation produced by StratWell may not be shared, duplicated, resold, distributed, or made publicly accessible without explicit written authorization from the Practice.

Intellectual Property Retention: StratWell retains sole ownership of all core intellectual property, underlying methodologies, and architectural systems. Clients are granted a non-exclusive, non-transferable internal license to utilize produced deliverables solely for their own corporate governance and operational execution.

Strategic Engagements & Workshop Protocols:

1. Governance & Upfront Commitments

All StratWell engagements, including the Foundational Workshop, Implementation Systems, and Executive Governance Support, operate on an institutional governance model. To allocate dedicated architectural capacity and maintain operational boundaries, 100% of the agreed engagement fee (plus applicable VAT) must be settled in full prior to the formal scheduling or commencement of any service.

2. Non-Refundable Standard

All capital transfers made to StratWell are strictly non-refundable once paid. Remittance of payment constitutes a definitive mandate and commitment to the architectural process.

3. Scheduling & Cancellation Penalties

Confirmed workshop dates require dedicated executive reserve. In the event a client needs to reschedule or cancel a confirmed workshop session:

  • Notice Exceeding 7 Days: Clients may reschedule a session with no additional penalty, subject to StratWell’s operational availability.

  • Notice Within 7 Days: Rescheduling or cancelling a session less than seven (7) calendar days prior to the agreed commencement date will incur a mandatory £3,000 + VAT Operational Reallocation Fee. This fee must be cleared in full before a replacement session date is confirmed.

These protocols ensure complete alignment, mutual respect for calendar capacity, and maximum execution velocity between both leadership teams.

Disclaimers & Governance Realities

StratWell provides high-level strategy architecture, commercial diagnostics, and governance frameworks. Our advisory services and strategic blueprints are provided to assist corporate decision-making; however, long-term operational execution and commercial outcomes remain the sole responsibility of the client’s executive leadership team.

Limitation of Institutional Liability

To the fullest extent permitted under English law, StratWell shall not be held liable for:

  • Any indirect, incidental, or consequential commercial losses.

  • Any loss of projected profits, market capitalization, business opportunities, or internal operational data.

  • Reliance placed upon strategic recommendations where execution deviated from the prescribed architecture.

In all circumstances, StratWell’s total aggregate liability arising out of or in connection with any engagement or website usage shall be strictly capped at the total engagement fees paid by the client for that specific mandate.

Modifications to Governance Protocols

StratWell reserves the right to amend or update these Terms of Service at any time to reflect evolving regulatory, legal, or practice standards. Revisions take immediate effect upon publication to this portal. Continued engagement with the Practice constitutes formal acceptance of updated protocols.

Governing Law & Institutional Enquiries

These Terms and all strategic mandates are governed by and construed in accordance with the laws of England and Wales, with the courts of England having exclusive jurisdiction.
